This agreement is entered into by Ebidcontractors Inc and you as a user of the website ("You"), and You acknowledge and agree that the following terms and conditions, including the Privacy Policy posted on this website, shall govern your use of each and every page of this website and the provision of both free and subscription-only information to you by or through the website (the "Service"). Ebidcontracotors reserves the right to revise this Agreement and/or the contents of this website at any time for any reason without notice. You further acknowledge and agree that You will be bound by any such revisions to the Agreement. For this reason, Ebidcontractors encourages You to periodically visit the website and review the terms and conditions of this Agreement.

Ebidcontractors reserves all rights afforded by the laws of the province of Ontario, and of Canada, and specifically reserves its rights, claims, and defenses for any omission from the contents of this notice to users of the Ebidcontractors website

• Fees and charges

Ebidcontractors accepts payment for the Service by credit card and cheque. You must provide Ebidcontractors with current, valid credit card account information at the time that You first subscribe to the Service. Ebidcontarators will then bill your credit card the total due for the current month, prorated from the starting date of subscription, plus the entirety of the next month (the "Initial Period"). Prorated charges do not apply to the Limited Use plan. For Limited Use plans, you will be billed the full rate for the month in which the service is activated as well as the next month. Cancellation of the Service during the Initial Period is non-refundable.

Unless the Service is terminated by You or Ebidcontractors as further provided in this Agreement, You agree to pay and authorize Ebidcontractors to charge the credit card You provided in the amount of the then-current monthly subscription cost for the Service on the first day of every month following the Initial Period. All Term Accounts renew at the end of their 3-month, 6-month or 12-month term.

After the Initial Term, You may terminate this Agreement at any time by calling Ebiccontractorsat 877-7949--EBID. Ebidcontractors will provide an e-mail confirmation of your cancellation to the address You designated when subscribing to the Service. Ebidcontractors does not accept cancellation by e-mail or any other means, regardless of whether such cancellation is actually received by Ebidcontactors. Your cancellation will be effective on the first day of the month immediately proceeding receipt of your notice of cancellation is provided herein. Ebidcontractors will not issue prorated refunds. For example, if You call to cancel the Service on June 16, You will continue to receive the Service through June 30 and will no longer receive the Service as of June 1 and will not be billed for the Service on July 1. In the event that you fail to make any payment when due, a transaction on a credit card you provide is denied by the issuer, or You undertake any action or omission in breach or contravention of this Agreement, Ebidcontractors may immediately and without notice terminate this Agreement with You.

All information and content contained on or in the Ebidcontractors website, including but not limited to text, images, video, audio and data are owned by and proprietary to Ebidcontractors, its vendors and/or licensors and are protected by applicable copyright, trademark and trade secret laws. All rights not expressly granted by this Agreement are reserved solely to Ebidcontractors, its vendors and/or licensors. Except as otherwise specifically stated in this Agreement, You may not duplicate, display, distribute, sell, resell, reverse engineer, disassemble, decompile, make derivative works, or other use the information or content of this website. Any unauthorized use by You may subject you to penalties or damages. Ebidcontractors will enforce its intellectual property rights to the full extent of the law. Your subscription to the Service is for your own use, and any sharing of Your account information, login, passwords, or the information, content and data provided by the Service, with any other person, firm or entity is strictly prohibited. Ebidcontractors reserves the right, and You hereby authorize Ebidcontractors, to charge your credit card an additional monthly fee for every instance in which Your account information, login, passwords, or the information, content and data provided by the Service is used by someone other than You as a consequence of Your violation of this policy.

You acknowledge and agree that any communication or material you transmit to this website, in any manner and for any reason, will not be treated as confidential or proprietary information and that any communications, or other materials you transmit to this website may be used by Ebidcontractors for any reason whatsoever at any time without notice to you. You further acknowledge and agree that if Ebidcontractors decides, in its sole discretion, to use or revise the materials, we may do so through reproduction, transmission, publication, and/or broadcast without permission from or compensation to you.

If any part of this Agreement shall be adjudged by any court of competent jurisdiction to be invalid, such judgment will not affect or nullify the remainder of this Agreement.

No failure to exercise, and no delay in exercising, on the part of either party, any privilege, any power or any rights hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right or power hereunder preclude further exercise of any other right hereunder. No waivers or amendments shall be effective unless made in writing and signed by a duly authorized representative of Ebidcontractors

You acknowledge and agree that although this website may be linked to other websites, Ebidcontractors neither directly nor indirectly expresses or implies any approval, association, sponsorship, endorsement or affiliation with the linked website, unless otherwise specifically stated in this website. Ebidcontractors has not reviewed all websites linked to this website, is not responsible for the content of any other website linked to this website, and makes no representations or warranties whatsoever as to the content or information contained on such websites. Any use of links by You to any other websites is at your own risk.

You acknowledge and agree that you will not post or transmit to this website any pornographic, obscene, profane, defamatory, libelous, threatening, unlawful or other materials which could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law or regulation. You agree to indemnify and hold harmless Ebidcontractors, its officers, directors, agents and employees against any asserted claims or suits made by any third party for any and all damages, losses, judgments or liabilities (including but not limited to reasonable attorneys' fees) arising from or relating to: (i) any actual or alleged breach of this Agreement by You (ii) any content, data or material that you submit, post or otherwise provide to Ebidcontractors or on this website.

This Agreement is the entire agreement and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement.

You acknowledge and agree that your use of the website and of the Service is at your own risk and that neither Ebidcontractors nor any other party involved in creating, producing, or delivering this website, including the content and information contained in this website, is liable for any direct, indirect, incidental, consequential or punitive damages, or any losses, costs or expenses of any kind (including attorney's fees, and/or other fees or expenses ) which may arise, directly or indirectly, through the access to, the use of, or the browsing in this site or through your downloading of any materials, text, data, images, video or audio from this website, including but not limited to anything caused by any viruses, bugs, human action or inaction of any computer system, phone line, hardware, software or program malfunctions, or any other errors, failures or delays in computer transmissions or network connections, or the failure of any Internet service provider.

Ebidcontractors appreciates the importance of providing a secure environment on its website for the purpose of providing credit card information to process orders and applications, and will take all reasonable and customary steps to protect the information You provide. Supporting documents and disclaimers necessary for submission of applications which appear on this site may be supported by other documents requiring a signature. In such event, the signed document shall prevail, and the documents and disclaimers appearing on the website shall be incorporated into the signed document. In the event there is any contradiction in terms between the online document and the subsequent signed document, the conflicting term(s) shall be resolved by relying on the document which is actually signed. Applications submitted on this website are considered "pending acceptance and approval" and are not complete until a confirmation of approval and acceptance has been sent by Ebidcontractors. In the event an application cannot be accepted, any payment made shall be refunded or credited to the credit card account within a reasonable period.  

Ebidcontractors.com uses the following criteria as part of its registration enrollment process ("registration") for new home service professionals applying for membership in our network:

Wherever possible, Ebidcontractors confirms insurance or bonding information presented by member service professionals in their profiles at the time of registration.

Ebidcontractors confirms at the time of a service professionals registration, that prospective new service professional members have all applicable required provincial-level and city trade licensing

You acknowledge and agree that the Ebidcontractors services are provided to you on an "AS IS" basis without any warranty whatsoever, and your sole and exclusive remedy, and Ebidcontractors's sole obligation to you or any third party for any claim arising out of your use of the Ebidcontractors services or the Ebidcontractors Web site, is that you are free to discontinue your use of the Ebidcontractors services or the Ebidcontractors Web site at any time. EXCEPT AS EXPRESSLY SET FORTH HEREIN, Ebidcontractors EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND YOU AGREE THAT SERVICEMAGIC SHALL HAVE NO LIABILITY FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL (INCLUDING LOST PROFIT), EXEMPLARY OR PUNITIVE DAMAGES (EVEN IF SERVICEMAGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF THIS AGREEMENT OR ANY CONSEQUENCES WHICH FLOW FROM IT. SOME STATES AND PROVINCES DO NOT ALLOW LIMITATIONS ON OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES AND PROVINCES, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. The Terms and Conditions will inure to the benefit of Ebidcontractors's successors, assigns and licensees. If any provision of these Terms and Conditions shall be deemed unlawful, void or unenforceable, for any reason, by any court of competent jurisdiction that provision shall be modified in order to make it enforceable, while maintaining the spirit of the provision. Alternatively, if modification is not possible, such provision shall be stricken and shall not affect the validity and enforceability of the remaining terms. The failure of Ebidcontractorsto exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Ebidcontractors services or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect. These Terms and Conditions are governed by the laws of Canada of Ontario as such laws are applied to agreements entered into and to be performed entirely in the Canada of Canada and between Canadian residents. You agree to submit to jurisdiction in Canada and that any claim arising under these Terms and Conditions will be brought solely in a court in Ontario Canada .
